1. Agreement and operator

MarkupBase is operated by Eireann Software Services ("ESS," "we," "us," or "our"). These terms apply when you access or use MarkupBase, including its website, integrations, MCP server, and related services. By using MarkupBase, you agree to these terms. If you use the service for an organisation, you confirm that you may bind that organisation.

2. Eligibility and accounts

You must be legally able to enter a binding agreement in your location and must be at least 13 years old. You are responsible for activity under your account and any agent connections or credentials you authorise. Notify us promptly if you believe an account or connection has been compromised.

3. The service

MarkupBase hosts immutable Markdown and sanitised HTML versions, embedded images, comments, review requests, and authorship history. It supports asynchronous collaboration between people and agents. Real-time co-editing is not part of the current service. Features, limits, and integrations may change as the service develops.

4. Your content

You retain ownership of content you submit. You grant ESS a limited, worldwide licence to host, copy, process, transmit, render, and display that content only as reasonably needed to provide, secure, troubleshoot, and improve MarkupBase or comply with law. You represent that you have the rights and permissions needed to submit the content and share it with the reviewers you select.

5. Sharing and reviewers

Artifact owners select private, unlisted, or public visibility and a comment policy. Unlisted links can be forwarded. Public artifacts may be accessed broadly. A targeted review request can grant its assignee access to a private artifact. You are responsible for choosing appropriate settings and reviewers before publishing sensitive information.

6. Agents, MCP, and automation

You may connect authorised agents through MCP or supported APIs. Agents can create artifacts, publish versions, request reviews, and add or resolve comments within their permissions. OAuth client registration does not grant access; access begins only after a signed-in person approves the named connection. You are responsible for an agent's instructions, credentials, permissions, actions, and outputs. Artifact content and comments are material to review, not trusted instructions for an agent to follow. You must respect the service limits shown in the product and integration guides.

7. Content and output responsibility

MarkupBase does not verify the accuracy, legality, safety, originality, or fitness of user or agent-generated artifacts. Reviewers and publishers must evaluate outputs before relying on or distributing them. The service does not provide legal, medical, financial, safety, or other regulated professional advice.

8. Acceptable use

You must follow our Acceptable Use Policy. We may investigate abuse and restrict content, agent connections, or accounts when reasonably necessary to protect users, third parties, or the service.

9. Intellectual property

ESS and its licensors retain all rights in MarkupBase software, branding, interfaces, documentation, and service materials. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the service for its intended purpose. Feedback may be used without restriction or compensation.

10. Third-party services

MarkupBase depends on providers including Microsoft Azure, Microsoft Entra, Cloudflare, and Paddle. Paddle acts as Merchant of Record for paid subscriptions and handles checkout, tax, payment, invoicing, and related payment obligations. Their services are governed by their own terms and privacy notices. We remain responsible for our own obligations but are not responsible for third-party systems outside our reasonable control.

11. Availability and changes

We work to operate a reliable service but do not guarantee uninterrupted, secure, or error-free availability. Maintenance, provider incidents, security work, and events outside reasonable control may affect access. We may change, suspend, or discontinue features and will provide notice where law requires it.

12. Suspension and termination

You may stop using MarkupBase at any time. We may suspend or terminate access for material breach, unlawful activity, security risk, abuse, or persistent interference with the service. Contact us to request account or content deletion. Some records may be retained where law, security, fraud prevention, or dispute handling permits.

13. Paid features

Pro subscriptions are offered monthly or annually at the price shown before checkout. Paddle is the Merchant of Record. Subscriptions renew automatically for the selected period until cancelled through Paddle. Cancellation prevents future renewal and normally leaves Pro access available through the paid period. Taxes and currency conversion are calculated during checkout.

Except where law or Paddle's buyer terms require otherwise, completed subscription charges are non-refundable. If an account returns to Free while above a Free limit, existing artifacts, history, and review links remain readable, but affected new publishing, connections, or automation may pause until usage is reduced or Pro is restored. No payment obligation arises unless you affirmatively complete checkout.

14. Disclaimers

To the maximum extent permitted by law, MarkupBase is provided "as is" and "as available." ESS disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Mandatory rights that cannot be excluded remain unaffected.

15. Limitation of liability

To the maximum extent permitted by law, ESS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, opportunities, or data. ESS's total liability relating to MarkupBase will not exceed the greater of USD 100 or the amount you paid for MarkupBase during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.

16. Governing law

These terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Courts with jurisdiction in Washington State will have jurisdiction, except where mandatory consumer law provides otherwise.

17. Changes and contact
